Terms of Use

Please read these Terms of Use ("Terms") carefully before accessing or using the RadSwift service ("Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Permitted Use

RadSwift grants your institution a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for internal workflow automation purposes within your radiology department. You may not:

• Sublicense, resell, or make the Service available to third parties outside your institution;
• Attempt to reverse engineer, decompile, or disassemble the Service or its underlying AI models;
• Use the Service in a manner that violates applicable law or regulation;
• Use the Service in any clinical context in which automated, unreviewed output could directly influence patient care without radiologist review.

2. Accuracy Disclaimer

The Service uses AI to extract numerical measurement values from ultrasound imaging data. While RadSwift strives for accuracy, the Service may produce incorrect, incomplete, or missing values due to factors including but not limited to:

• Image quality, noise, or non-standard acquisition protocols;
• Variations in ultrasound vendor software versions or display formats;
• Unusual patient anatomy or atypical measurement presentations;
• Network latency or processing errors during the cloud pipeline.

The radiologist must independently verify all extracted values against the source imaging data before including them in any clinical record, report, or communication. RadSwift is a productivity aid, not a source of clinical truth.

3. Not a Medical Device

The Service is classified as a workflow automation tool and is not intended to be, and should not be used as, a medical device. It does not analyse, interpret, or provide clinical recommendations regarding imaging findings. The Service does not replace clinical judgment.

This Service has not been reviewed, cleared, or approved by the U.S. Food and Drug Administration (FDA) or any equivalent regulatory authority. It should not be used as a medical device or as a substitute for software that has received regulatory clearance or approval.

4. Regulatory Compliance

You are solely responsible for determining whether use of this Service is permitted under the laws, regulations, and institutional policies applicable to your jurisdiction and clinical practice. RadSwift makes no representation that use of the Service is permitted in your jurisdiction or compliant with the requirements of your institution or applicable regulatory body.

5. Clinician Responsibility

The radiologist, physician, or other qualified clinician using the Service is solely and exclusively responsible for:

• Reviewing and verifying all extracted values before including them in any patient record or report;
• All clinical interpretations of imaging findings;
• Ensuring the Service is used only where it is appropriate and safe to do so;
• Compliance with all applicable professional, institutional, and regulatory obligations.

6. Data Handling and HIPAA

The Service receives imaging data (DICOM) from your PACS and transmits it via an encrypted pipeline to RadSwift's cloud infrastructure on Google Cloud Platform (GCP) for processing. Data handling is governed by the following:

• All imaging data is transmitted using TLS 1.2 or higher;
• Imaging data is retained on GCP infrastructure for a maximum of 24 hours to support processing and error recovery, then permanently deleted;
• RadSwift executes a Business Associate Agreement (BAA) with GCP as a sub-processor;
• RadSwift provides a BAA to covered entities and business associates that require one under HIPAA — contact us to request a copy;
• You remain responsible for ensuring that your use of the Service complies with your institution's HIPAA obligations and applicable privacy law.

7. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. RADSWIFT DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT EXTRACTED VALUES WILL BE COMPLETE OR ACCURATE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RADSWIFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, CLINICAL ERRORS, PATIENT HARM, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Updates and Changes

RadSwift may update the Service from time to time. We reserve the right to modify or discontinue the Service at any time with reasonable notice. We also reserve the right to update these Terms; continued use of the Service after an update constitutes acceptance of the revised Terms.

10. Termination

This licence is effective until terminated. RadSwift may terminate or suspend access to the Service immediately if you fail to comply with any provision of these Terms or if required to do so by law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
